The specific details, deliverables, and parameters of the Services will be set forth in a separate Master Services Agreement (MSA) or Order Form executed between you and the Company.
3. License and Use of Data
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the data provided through our Services solely for your internal business purposes and direct marketing efforts.
You agree not to:
- Resell, sublicense, distribute, or otherwise transfer the data to any third party.
- Use the data for any unlawful purpose, including violating any spam laws (e.g., CAN-SPAM, GDPR).
- Reverse engineer or attempt to extract the underlying methodology of our data verification processes.
4. Fees and Payment
Fees for our Services are specified in the applicable Order Form. Unless otherwise stated, all fees are non-refundable and payable in US Dollars. You are responsible for all taxes associated with your purchase of the Services.
5. Disclaimer of Warranties
While we strive to provide the most accurate B2B data available, our Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the data will be 100% accurate, complete, or uninterrupted. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.
6. Limitation of Liability
In no event shall Emerge Global Solutions, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services or the data provided, even if we have been advised of the possibility of such damages.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California.
